Board of Trustees Secretary Role Description

  1. Role

 

The Secretary of Center for Spiritual Living Delaware’s Board of Trustees must be dedicated to the teachings of New Thought/Science of Mind.  The Secretary is responsible for maintaining or overseeing the current and accurate records of all CSL Delaware’s business activities.  The Secretary shall also serve on the Executive Committee.

 

  1. Responsibilities/Specific Duties

 

  1. a) Minutes
  • The Secretary shall record the minutes or appoint someone to keep the minutes for all meetings of the Board of Trustees, whether regular or special. The minutes should include the following information:
  • Date and place of meeting
  • Board members present and absent; guests present
  • Time meeting started and adjourned
  • A description of any corrections made to the previous month’s minutes
  • The month ending balances of all CSL Delaware bank accounts
  • An overview summary of all discussion items (unless they are totally irrelevant or confidential)
  • The accurate wording of any motion, who made it, who seconded it, who amended it, etc. and the outcome of the vote

 

  • The Secretary shall prepare or appoint someone to prepare and distribute the Board minutes to all Board members within one (1) weeks of the meeting date.

 

  • Each month, the Secretary shall place an extra copy of the Board Minutes in the Board Record Notebook, which is kept in the CSL Delaware office.

 

  • The Secretary shall also record the minutes or appoint someone else to take the minutes of all Membership meetings including the annual meeting at the conclusion of his/her term as Secretary. These minutes shall include:
  • Date and place of meeting (if a special meeting, include how it was authorized)
  • Number of current members
  • Number of members present
  • Time meeting started and adjourned
  • A brief summary of all discussion items
  • The Secretary shall keep or appoint someone to keep and maintain an official Book of Minutes (including the agenda and all attachments) of all meetings of the Board of Trustees and the Membership.

 

  1. b) Membership Records
  • The Secretary shall keep or cause to be kept at CSL Delaware’s office the official Membership Record showing the names of the members, their membership date and their addresses and phone numbers.

 

  1. c) Signatory
  • Along with the President, the Secretary shall sign all contracts and legal documents.

 

  1. d) Miscellaneous
  • The Secretary will assume other duties and responsibilities from time to time as are determined by the Board of Trustees.
